Terms and Conditions

These terms and conditions govern the use of the services provided by Nextgen Global Services Pvt Ltd. Please read them carefully. The services are provided to you only on the condition that you accept these terms, which may be amended at any time, with or without notice. You are required to check from time to time for such changes. By any way of using or accessing the services, you hereby agree to and acknowledge acceptance of the terms and any revisions thereof. Your making payment for any service suggests your acceptance of these terms. These terms apply to the use of services and dealings with Nextgen Global Services Pvt Ltd.

GENERAL

This is the agreement ("Terms of Service") under which you, the customer, ("you", your, or "Subscriber") shall agree with Nextgen Global Services Pvt Ltd. ("Nextgen," "we," or "us"). You accept these Terms upon (a) online or phone requests made for services; (b) acceptance of these Terms electronically during registration or support sessions; or (c) use of any Service. This Agreement shall be deemed complete with the Privacy Policy, all attachments, and referenced policies covered hereby. AUTHORIZED USER, USE, AND RESPONSIBILITIES

When using or accessing our services, you represent yourself to be eighteen (18) or older and the legal age required to enter this Agreement, and if representing a business or as an agent, you represent yourself to have in place the ability to bind said employer to such terms and conditions. You shall provide complete and valid registration and service-use information. You shall inform Nextgen Global Services Pvt Ltd. on time of any change in personal or billing information, such as name, address, telephone number, and payment card information.

AVAILABILITY OF SERVICE

Services you may select may sometimes be unavailable or offered in other than the usual format. All Services are provided "AS IS". Your computer may not always support the Services even if preliminary tests indicate compatibility. For Remote Computer Support, your Internet connection will be evaluated to ensure it meets the minimum speed requirement as per standard qualification procedures. Internet accessibility will be a precondition for various Services; however, it is your responsibility to ensure proper connectivity. Service availability and line rate are not guaranteed. Access and availability of the Services may be limited by Nextgen Global Services Pvt Ltd for maintenance, and they shall disclaim any liabilities for interruptions or delays.

SOFTWARE LICENSES AND THIRD-PARTY SERVICES

In connection with our Services, Software may be provided to you either via download, CD, or other means, and it is either owned by Nextgen Global Services Pvt Ltd., or its third-party partner corporations. Such Software, however, both pay and free, is a client and network security software ("Software"). We retain the right to periodically update or modify the Software, and you agree to cooperate with the necessary steps required to install such updates or upgrades. The Software shall not be used except alongside the Service and for no other purposes.

Your use of the Software is subject to the respective license & your acceptance of this Agreement. You are not allowed to install or use any Software under an end-user license agreement without accepting the terms of that agreement.

For the Software that is not accompanied by a separate license agreement, a revocable, non-exclusive, and non-transferable license is provided to use that Software alone with the Service. You may not copy, or alter the Software. The Software and related intellectual property, including copyrights and patents, remain the property of Nextgen Global Services Pvt. Ltd. or their licensors. Exporting the Software is strictly prohibited.

If third-party software is at play, it's licensed here to you by its respective owners--adhere to their terms of use and support.

This Agreement shall be effective upon acceptance and shall continue in full force until it may be terminated as provided hereunder.

TERMINATION OF SERVICE

Pay-as-you-go or Subscription-Based Service

In subscription/payload, either party may terminate this agreement upon the expiration of thirty (30) days' written notice for any reason. All activation or setup fees are paid upfront and are not refundable. Early termination fees (ETFs) may be applicable based on purchase service details. Termination notice from Nextgen Global Services Pvt Ltd. shall become effective thirty (30) days after the date of notice unless otherwise stated. In the case of termination by Nextgen Global Services Pvt Ltd., you will take on the remaining balance of the Service charges until the termination date. You acknowledge that this Software will or may become inoperative or cease to update after termination of the Service.

Termination or Suspension by Nextgen Global Services Pvt Ltd.

As far as the termination or suspension of your Service is concerned, immediate termination or suspension may be ordered, by and at the sole discretion of Nextgen Global Services Pvt Ltd., under the following situations:

1. In case of violation of this Agreement or any related policies.
2. Disruption to the Service or violation of legal guidelines caused by your use.
3. Termination of the Service is enforceable by court order.
4. The Service will not be offered in the future by Nextgen Global Services Pvt Ltd.
5. You are no longer a customer or are misusing the Service.

Pricing and Payment

You agree with the selected Service charge and applicable tax, setup fee, and other fees. You agree that service can be suspended or terminated in the event of non-payment.

LIMITATIONS ON USE OF THE SERVICE

So, you take the usage of this Service at your own risk and responsibility making compliance with all applicable laws or regulations. The Internet is an insecure environment, and unauthorized people may disclose either by interception or other means any data you may send or receive. Transmission errors, nonexistent addresses, or loss of data security will not incur liability. You may not use this company's name or trademark in any context that conveys or suggests commercial endorsement of hyperlinks unless prior written consent has been obtained from the company. The links offered by the Service are merely provided for the user's convenience and do not mean or imply linked endorsement by the company. Links to external sites therefore become wholly the responsibility of the related entities.

GENERAL PROVISIONS

The parties' obligations under this agreement that, because of their nature, extend beyond termination, cancellation, or expiration, including but not limited to Software Licenses, Warranties, Limitations of Liability, and Indemnification, will survive. Nextgen Global Services Pvt Ltd. shall never be liable for any delays and or failures on its part due to contingencies beyond its control, including but not limited to any Governmental action, natural calamities, acts of third parties, strikes, or lack of required materials. This agreement is incapable of assignment unless authorized by us. Governing laws and dispute resolution matters in compliance with applicable regulations. Any invalid provision shall not affect the remainder of this Agreement. This Agreement represents the entire contract and supersedes any earlier agreements, whether in writing or oral.
